These Terms of Service ("Terms") govern your access to and use of the reservation, scheduling, membership, and customer-management services (the "Service") provided by EpiSapien, LLC. ("Company," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
To use the Service, you must:
- Be at least 18 years old
- Have the legal authority to enter into binding agreements
- Use the Service only for lawful business purposes
- Not be prohibited from receiving services under applicable laws or payment-processor rules
We reserve the right to refuse service to any business category that is restricted or prohibited by our payment processors, merchant-of-record partners, or applicable financial-compliance regulations.
2. Permitted Use
The Service may be used for:
- Managing reservations, appointments, and bookings
- Managing memberships, subscriptions, and customer accounts
- Processing payments for legitimate, permitted goods and services
- Communicating with customers regarding reservations or memberships
- Operating lawful businesses such as fitness studios, clubs, classes, events, hospitality, professional services, and similar activities
You agree to use the Service only for activities that comply with:
- Applicable laws and regulations
- Card-network rules (Visa, Mastercard, Amex, Discover)
- Payment-processor and merchant-of-record policies
- Anti-fraud, anti-money-laundering, and sanctions requirements
3. Prohibited Activities
You may not use the Service for any illegal, harmful, or high-risk activities, including but not limited to:
3.1 Illegal or Unacceptable Activities
- Human trafficking, exploitation, or any form of abuse
- Money laundering, terrorist financing, or sanctions violations
- Sale or facilitation of illegal drugs or controlled substances
- Weapons, explosives, or hazardous materials
- Gambling, betting, or unlicensed gaming
- Ponzi schemes, pyramid schemes, or deceptive financial practices
- Adult entertainment, escorting, or sexually explicit services
- Counterfeit goods, stolen goods, or intellectual-property violations
- Any activity prohibited by payment processors or merchant-of-record partners
3.2 High-Risk or Restricted Business Categories
The Service may not be used for business types commonly rejected by credit-card processors or merchant-of-record services, including:
- Cryptocurrency exchanges or speculative financial products
- Debt collection, credit repair, or loan-modification services
- Multi-level marketing (MLM) programs
- Unregulated health claims or medical services requiring special compliance
- Any business requiring licensing that the user does not possess
We may suspend or terminate accounts engaged in prohibited activities without notice.
4. User Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your account credentials
- Ensure your business complies with all applicable laws
- Use the Service only for legitimate, permitted transactions
- Not interfere with or disrupt the Service
You are solely responsible for the content you upload, your customer interactions, and your business operations.
5. Payment Processing
Payments processed through the Service are handled by third-party payment processors or merchant-of-record partners. By using the Service, you agree to their terms, policies, and compliance requirements.
We do not control and are not responsible for:
- Approval or rejection of transactions
- Chargebacks or disputes
- Processor-imposed restrictions
- Payout schedules or reserve requirements
We may suspend payment capabilities if required by our processors or compliance obligations.
6. Memberships, Subscriptions & Billing
If you offer memberships or recurring billing through the Service, you must:
- Clearly disclose pricing, renewal terms, and cancellation policies
- Obtain customer consent for recurring charges
- Provide a lawful and accessible cancellation method
- Comply with card-network rules for subscription billing
You are responsible for all refunds, cancellations, and customer service related to your business.
7. Data & Privacy
We process data in accordance with our Privacy Policy. You agree to comply with applicable data-protection laws, including obligations related to customer data, consent, and security.
8. Intellectual Property
All software, content, and materials provided by the Company remain our property. You receive a limited, non-exclusive license to use the Service for your business operations.
9. Termination
We may suspend or terminate your account if:
- You violate these Terms
- Your business falls into a prohibited or high-risk category
- Required by law, regulators, or payment partners
- Fraud, abuse, or suspicious activity is detected
You may terminate your account at any time by discontinuing use of the Service.
10. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted operation, error-free performance, or suitability for your specific business needs.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- Loss of revenue, profits, or data
- Business interruption
- Payment-processor decisions or actions
- Indirect, incidental, or consequential damages
Our total liability will not exceed the amount paid to us in the preceding 12 months.
12. Governing Law
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-law principles.
13. Changes to Terms
We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
14. Modification, Suspension, and Discontinuation of Service
The Company reserves the right, at its sole and absolute discretion and without prior notice or liability of any kind, to: (a) add, modify, suspend, retire, or permanently discontinue any feature, capability, function, integration, or component of the Service, in whole or in part, at any time and for any reason; (b) alter the technical specifications, performance characteristics, user interface, or operational parameters of the Service; and (c) introduce, modify, or remove pricing structures in connection with any modification to the Service.
The Company makes no representation or warranty, express or implied, that any particular feature, capability, or level of service will remain available for any defined or indefinite period. Your continued use of the Service following any such modification, suspension, retirement, or discontinuation of features or capabilities constitutes your acceptance of those changes.
The Company shall have no obligation to provide advance notice of any such modification, suspension, retirement, or discontinuation, and shall not be liable to you or to any third party for damages, losses, or claims of any nature arising from or related to any modification, suspension, retirement, or permanent discontinuation of the Service or any feature or capability thereof.
15. Browser and Client Compatibility
The Company makes no representation or warranty, express or implied, that the Service will be accessible, functional, or compatible with any particular web browser, operating system, mobile device, or other client application. The Company shall use commercially reasonable efforts to support current, widely-adopted web browsers, but expressly disclaims any obligation to support any specific browser version, mobile client, browser extension, or assistive technology.
Incompatibility of the Service with any browser, device, or client application shall not constitute a defect in the Service and shall not give rise to any claim, refund, credit, or liability on the part of the Company. In the event that you are unable to use the Service due to a browser or client compatibility issue, your sole and exclusive remedy shall be to cancel your subscription or, if applicable, to discontinue your use of the Service in accordance with the cancellation provisions set forth in these Terms.
16. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, in whole or in part, such provision shall be deemed severed from these Terms to the minimum extent necessary and shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect. Any provision so severed shall be replaced by a valid and enforceable provision that most closely achieves the economic intent and purpose of the severed provision to the fullest extent possible under applicable law.
User Acknowledgment
By using the Platform and services provided by EpiSapien, LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You accept all provisions herein, including but not limited to the Company's right to modify or discontinue service features at any time without notice, the limitations on warranties and liabilities, and the requirement that your exclusive remedy for browser compatibility issues is to cancel your service.
